Introduction

Sensory Medical Inc. (Cubby Beds) has built a reputation for providing superior quality products. We believe that both pre-sale and post-sale customer experiences — including personal service, instruction, and education — strengthen our reputation and ensure our products remain competitive in the marketplace.

This policy (“MAP Policy”) sets the minimum advertised price (“MAP”) for Cubby Beds products in the United States. It applies to all dealers, distributors, and suppliers authorized by Sensory Medical Inc. (Cubby Beds) to offer and sell covered products (“Authorized Suppliers”).

This MAP Policy is unilateral and non-negotiable. Sensory Medical Inc. (Cubby Beds) will not seek or accept any agreement regarding compliance. Each Authorized Supplier may choose whether to comply, but the company will enforce this policy in its sole discretion as outlined under Violations.

This MAP Policy governs advertised prices only. Actual resale prices remain solely at the discretion of the Authorized Supplier.

Covered Products

This MAP Policy applies to all products manufactured or distributed by Sensory Medical Inc. (Cubby Beds) (the “Covered Products”). It does not apply to special promotions or programs announced or authorized by the company from time to time.

Covered Advertising

This MAP Policy applies to all forms of advertising, including but not limited to:

• Print ads (catalogs, newspapers, magazines, inserts, etc.)
• Websites and banners sponsored by an Authorized Supplier
• Internet advertising on third-party sites (social platforms, portals, news sites, shopper sites, etc.)
• Broadcast advertising (radio, TV, public address)
• Direct mail, including email
• Fax or digital communications
• Billboards or signage owned or leased by the Authorized Supplier
  

This MAP Policy does not cover:

• In-store displays, banners, or price markings
• Quotes or contracts sent directly to individual customers or payors that are not generally distributed
  

MAP Rules

• Sensory Medical Inc. (Cubby Beds) will publish MAP pricing in a separate document provided directly to Authorized Suppliers. MAP pricing may be updated or changed at any time without notice.
• Advertising Covered Products below MAP is a violation of this policy.
  
• Examples of violations include (but are not limited to):
• Selling directly to online retail platforms (e.g., Amazon, Walmart) or advertising on auction sites.
• Advertising additional discounts (rebates, gift cards, bundled offers, coupons, trade-ins, tax-free promotions, free installation, etc.) that reduce the net advertised price below MAP.
• Bundling Covered Products with other products or services in a way that reduces the effective advertised price.
• Misleading, deceptive, or factually incorrect advertising.
• Advertising Covered Products without accurately identifying the brand or Authorized Supplier status.
• Advertising free upgrades, accessories, or add-ons that lower the effective price below MAP.
• Advertising Covered Products for sale on third-party shopping websites without prior written consent from Sensory Medical Inc. (Cubby Beds).
  
  

Authorized Suppliers may advertise Covered Products on their own dedicated website without prior consent, so long as pricing complies with MAP.

Violations

Sensory Medical Inc. (Cubby Beds) will monitor advertising for compliance with this MAP Policy. If a violation occurs:

First Violation

1. Written notice will be issued to the Authorized Supplier.
2. The Supplier will have three (3) business days to correct the violation.
3. If uncorrected, Sensory Medical Inc. (Cubby Beds) will suspend sales to the Supplier for thirty (30) calendar days and remove them from the Authorized Supplier list. After the suspension period, if the violation has been corrected, the Supplier may be reinstated.
   

Second Violation (within 12 months)

1. Written notice will be issued to the Authorized Supplier.
2. Unless the Supplier provides evidence that no violation occurred within 24 hours, Sensory Medical Inc. (Cubby Beds) will immediately cease doing business with the Supplier and remove them from the Authorized Supplier list.
3. Reapplication for authorization will not be considered for at least six (6) months and will be subject to the company’s sole discretion.
   

Depending on severity, Sensory Medical Inc. (Cubby Beds) reserves the right to bypass the above steps and immediately cease doing business with a Supplier.

Administration

This MAP Policy may be revised, suspended, or terminated at any time at Sensory Medical Inc. (Cubby Beds)’s sole discretion. Updates will be communicated directly to Authorized Suppliers. Only the designated MAP Policy Administrator is authorized to discuss or clarify this policy.
